SEC Proposes New <a href="https://xpertsstudio.com/nexo-launches-regulated-crypto/” title=”Nexo Launches Regulated Crypto”>Crypto Asset Rules with Lighter Capital Raising Path
The U.S. Securities and Exchange Commission has submitted a rulemaking package called Regulation Crypto Assets, which provides digital-asset founders with a more straightforward and less burdensome path to raise funds under federal securities law, as detailed in the regulator’s announcement. This initiative represents the agency’s first dedicated rulemaking effort focused on crypto offerings, following broader interpretive direction issued in March, and it would exempt eligible companies from the expensive registration steps typical of standard public offerings.
Central to the plan are two distinct exemptions. The first, labeled the startup exemption, permits an issuer to collect as much as $5 million across a four-year span without having to register the offering. The second, known as the fundraising exemption, allows raises of up to $75 million within any twelve-month period, although those using it must still provide financial statements and comply with recurring reporting obligations. Both pathways require companies to deliver narrative, principle-oriented disclosures to investors, instead of the heavy legal paperwork usually associated with public listings.
Additionally, the proposal introduces a conditional safe harbor that could, under certain circumstances, remove specific tokens from the legal classification of a security once an issuer has completed or permanently ceased the managerial activities it had promised to investors. It would also preempt conflicting state-level registration requirements for offerings conducted under these exemptions, eliminating the need for issuers to navigate separate state securities laws.
SEC Chairman Paul Atkins characterized the package as a minimal yet sufficient level of oversight, aiming to safeguard investors while giving builders ample freedom to innovate. Initial reactions have been broadly favorable. Summer Mersinger, who leads the Blockchain Association, stated that the move finally provides the bespoke regulatory clarity the industry has long requested. Cody Carbone, CEO of the Digital Chamber, also voiced support for the plan, committing to assist in fostering industry growth within the United States rather than pushing it overseas.
Still, the proposal is not yet finalized. It will remain open for public feedback for 60 days after its publication in the Federal Register, meaning its terms could be altered or abandoned before a final rule takes effect. The SEC’s action arrives about ten days after the Senate departed for its summer break without advancing the Digital Asset Market CLARITY Act (H.R. 3633), the sector’s primary legislative effort, which would divide oversight of digital assets between the SEC and the Commodity Futures Trading Commission.
Senate Majority Leader John Thune filed a cloture motion on that bill on August 7, but lawmakers left town before any vote occurred. That motion is scheduled to be revisited on September 15, serving as a procedural step rather than a final decision, once senators reconvene. Chairman Atkins has repeatedly emphasized that only Congress can create a durable, adaptable framework that withstands shifts in political leadership, and the Commission maintains its support for the bill’s enactment. Nevertheless, with the legislative timeline extending into the fall, the regulator appears to have chosen not to delay, instead leveraging its existing authority to provide the industry with some assurance while lawmakers gear up to resume discussions next month.
