    The U.S. Securities and Exchange Commission (SEC) has proposed Regulation Crypto Assets, a tailored offering framework for certain investment contracts involving crypto assets. The proposal was published in the Federal Register on August 21, 2026, with comments due on or before October 20, 2026.

    The Crowdfunding Professional Association (CfPA) is cited ten times in the proposing release, drawing on the association’s June 2025 submission to the Commission’s Crypto Task Force. CfPA is the only trade association representing regulated investment crowdfunding cited anywhere in the release.

    In developing the registration exemption, the Commission looked directly to the exempt offering frameworks CfPA’s members build and operate every day. It modeled the exemption’s two-tier structure and offering ceilings on Regulation A, and drew on Regulation Crowdfunding’s approach to financial condition disclosure. In other respects, such as ongoing reporting, the Commission modified the existing framework requirements. Reliance on the existing exempt offering ecosystem, rather than an entirely new regulatory framework, lies at the center of the CfPA’s mandate: assessing how these exemptions function in practice for issuers and platforms, and identifying where they should be preserved, adapted, or improved as they are extended to a new asset class.

    “The Commission is drawing on Regulation Crowdfunding and Regulation A to design something new, which tells you these frameworks are working models worth building on,” said Brian Belley, President of the Crowdfunding Professional Association. “Our job is to make sure the industry’s perspective is part of that conversation. That is what an all-volunteer trade association exists to do, and it is why the breadth of our membership matters.”

    CfPA’s SEC Liaison and Affairs Subcommittee is preparing a comment letter for filing before the deadline. The subcommittee is analyzing how the proposed Regulation Crypto Assets framework compares with or differs from the exemptions already in place, and the resulting impact on the regulated investment crowdfunding industry.

    The comment deadline falls on October 20 – the opening day of the CfPA Annual Summit, which convenes leaders from across the industry for two days in Washington, DC. Registration is open at https://ricsummit.org and the SEC’s draft rulemaking will be a key topic.

    Industry participants who want a voice in this and future rulemakings are invited to join CfPA. Membership is open to funding portals, broker-dealers, issuers, investors, attorneys, accountants, technology providers and platforms, and others working in regulated investment crowdfunding or with a professional interest in the industry.
