Capital B has completed approximately €30.1 million of capital raises and acquired an additional 376 BTC for €25.3 million, increasing its <a href="https://xpertsstudio.com/bitcoin-slips-to-78800-as-bnb-and-defi-tokens-buck-the-selloff/” title=”Bitcoin slips to $78,800 as BNB and DeFi tokens buck the selloff”>Bitcoin Treasury holdings to 3,521 BTC.
The Euronext Growth Paris-listed company completed €1.44 million of capital increases under its ATM-type agreement with TOBAM and another €28.7 million private placement subscribed by global institutional investors, including strategic investors Adam Back and TOBAM.
Capital B said its 3,521 BTC held under its Bitcoin Treasury Company strategy have a combined acquisition value of approximately €309.4 million, representing an average acquisition cost of €87,878 per bitcoin.
The latest 376 BTC purchase was completed at an average cost basis of approximately €67,182 per bitcoin.
Capital B said its strategy is focused on increasing the amount of bitcoin represented by each fully diluted share over time.
The company reported a BTC Yield of 2.17% year-to-date and 0.31% quarter-to-date.
It also reported a BTC Gain of 61.3 BTC year-to-date and 9.9 BTC quarter-to-date, along with a BTC € Gain of approximately €4.2 million year-to-date and €675,086 quarter-to-date.
Capital B emphasized that these metrics are supplemental indicators developed specifically for its Bitcoin Treasury strategy and should not be interpreted as traditional investment yield, operating performance or financial return measures.
The €1.44 million ATM financing involved the issuance of approximately 2.8 million new ordinary shares at an average rounded subscription price of €0.51 per share.
TOBAM Bitcoin Enhanced Fund subscribed for 988,470 shares, TOBAM Bitcoin Alpha Fund acquired 1,495,320 shares and TOBAM Bitcoin Treasury Opportunities Fund purchased 315,410 shares.
The larger private placement totaled approximately €28.7 million and consisted of shares issued with four subscription warrants attached to each share.
Capital B initially announced approximately €21 million of the financing on August 28, followed by another approximately €7.64 million subscribed by Adam Back on September 2.
The securities were priced at €0.58 per share-and-warrant package.
Each package includes two 2026-06 warrants, one 2026-07 warrant and one 2026-08 warrant.
The warrants have five-year maturities, with pre-reverse-split exercise prices of €0.75, €0.98 and €1.27, respectively.
Following Capital B’s 10-for-1 reverse stock split scheduled for September 8, 2026, the corresponding exercise prices become €7.50, €9.80 and €12.70 per share.
If all of the newly issued 2026-06, 2026-07 and 2026-08 warrants are ultimately exercised, Capital B could receive approximately €185.3 million of additional capital.
The three warrant tranches together represent approximately 197.6 million warrants before adjustment for the reverse split.
Maxim Group acted as sole placement agent for the private placement announced on August 28.
Following the completed transactions, Capital B reported 382.5 million issued shares on an ordinary basis.
Blockstream Capital Partners held approximately 18.77%, Adam Back approximately 17.64%, TOBAM approximately 3.16%, executives approximately 5.55% and public and institutional investors approximately 53.77%.
The latest Bitcoin acquisition was executed by Swissquote Bank Europe, with the assets placed into secure custody using technology from Swiss digital asset infrastructure company Taurus.
Capital B also holds another 61 BTC for operational purposes, separate from the 3,521 BTC held under its Bitcoin Treasury strategy and therefore excluded from the company’s published Bitcoin Treasury performance indicators.
Capital B describes itself as Europe’s first Bitcoin Treasury Company and is also active through subsidiaries specializing in Data Intelligence, artificial intelligence, decentralized technology consulting and development, and corporate treasury activities.
