Genius Group (NYSE: $GNS), an education technology company based in Singapore, plans to raise capital to expand its AI and Bitcoin (CRYPTO: $BTC) treasuries.
The company said Thursday it is considering issuing perpetual preferred securities as part of a broader $1.2 billion capital plan. Genius Group has set a target of $800 million for its AI Treasury and $827 million for its Bitcoin Treasury, with a longer-term goal of reaching $2 billion in total assets by 2031.
The company plans to initially raise $12.5 million through the proposed preferred securities offering. The securities are expected to be non-convertible and carry a variable dividend paid monthly. Genius Group said proceeds would be divided between its AI investments, Bitcoin holdings, and a U.S. dollar reserve intended to cover about 18 months of preferred dividends.

Genius Group said it has begun talks with investment banks that specialize in preferred securities and digital asset financing. The final terms and timing of the offering have not yet been decided.
“Every dollar of preferred capital deployed into our Bitcoin and AI Treasury that generates returns above the preferred dividend rate flows directly to our ordinary shareholders’ net asset value,” CEO Roger James Hamilton said.
Genius Group currently reports $106.6 million in net assets and a net asset value of $0.62 per share. Its shares closed at $0.18 on August 26, and are up 8% so far today.
The company’s shareholders approved the Bitcoin strategy in November 2024, while its AI Treasury was authorized in May 2026. Genius Group said its AI portfolio includes exposure to companies such as SpaceX, Anthropic, OpenAI and other artificial intelligence firms.
The company plans to resume Bitcoin purchases in the fourth quarter of 2026. It also expects to deploy up to $100 million into AI investments across private companies, listed AI infrastructure firms and other related opportunities.
