    One of decentralized finance’s fastest-growing product categories came under regulatory scrutiny on July 22. US Securities and Exchange Commission (SEC)Commissioner Hester Peirce published a statement warning that on-chain vaults and lending strategies may fall within the scope of federal securities law. Peirce sits on the agency’s Crypto Task Force and has been a consistent advocate for clearer crypto regulation.

    What Makes a Vault a Security

    Peirce’s central argumentwas that putting a financial product on a blockchain does not change what that product is legally. A vault or lending arrangement that meets the definition of a security under existing law remains a security, regardless of how it is structured on-chain. She had made a similar point about tokenized assets in earlier statements, and July 22’s publication extended that logic directly to vaults.

    She identified the Howey Test as the primary framework for determining whether a vault qualifies as a security. A vault that pools user capital into a common enterprise may already satisfy one of that test’s key criteria. Vaults that hold or allocate funds into other securities could fall into investment company territory under existing law.

    Vaults managed by professional curators, who select strategies, rebalance assets, or delegate those decisions to others, could be subject to investment adviser rules as well. Peirce said that applies whether a vault is actively managed, passively managed, or structured to keep each user’s funds in a separate account. Several vault builders have designed segregated structures specifically to avoid pooled-fund classification.

    She applied similar reasoning to on-chain lending. Decisions about interest rates, collateral requirements, and which assets a lending protocol supports can carry the legal characteristics of notes that qualify as securities. That depends on who makes those decisions and how the arrangement is structured.

    Peirce was clear that her statement does not ban on-chain vaults or lending outright. She said the SEC will assess each product individually based on its specific facts. She invited developers to engage with the agency rather than assume that blockchain technology places their products outside federal jurisdiction.

    Markets responded quickly to the statement. Morpho (MORPHO), a major provider of vault infrastructure, fell roughly 5% on the day, underperforming the broader crypto market. As of July 2026, $8.6 billion in assets sat across 788 curated vaults serving 1.4 million users, according to data from Vaults.fyi. The scale of what Peirce’s statement covers makes the regulatory question one of the more pressing open issues in crypto compliance.

    The SEC has separately delayed publishing an innovation exemption that would create a testing environment for tokenization projects. In Congress, the CLARITY Act aims to define formal boundaries between SEC and Commodity Futures Trading Commission oversight of crypto. That legislation has stalled in part because of ethics concerns connected to President Donald Trump’s crypto business interests.
