    Ethereum infrastructure company Consensys is restructuring into two independent entities by separating its retail and institutional businesses. The consumer-facing MetaMask business will adopt MetaMask as its corporate name, with founder Joe Lubin serving as CEO. The institutional protocol and infrastructure business will move to a newly created entity that retains the Consensys name, led by longtime executive Mike Kriak as CEO. The spin-off is expected to be completed by year-end. Lubin said the faster value accumulation of the MetaMask division was the catalyst for the split, while declining to comment on IPO timing. The restructuring positions MetaMask to expand into a financial platform encompassing traditional finance products.

    Ethereum ecosystem infrastructure firm Consensys is restructuring into two independent entities by separating its retail and institutional businesses. The company announced on the 9th (local time) that it will change its corporate name to MetaMask, its flagship cryptocurrency wallet product.

    The core driver behind the restructuring is the divergence in growth rates between the consumer platform and institutional infrastructure businesses. Founder Joseph Lubin explained in an interview with Fortune: “Recognizing that the MetaMask division was accumulating value at a much faster pace than Consensys’s other business units was the catalyst for the spin-off decision.”

    Under the restructuring plan, the MetaMask entity will focus on consumer-facing products and services. Lubin will serve as board chairman and CEO, directly leading the business. The entity aims to expand beyond cryptocurrency custody and trading into a financial platform that provides access to traditional finance (TradFi) products.

    The institutional blockchain infrastructure business will move to a newly created entity that retains the Consensys name. The Ethereum Layer 2 network Linea, along with institutional tokenization, stablecoins, and digital asset infrastructure development, will form the core of this entity’s business. Longtime executive Mike Kriak will serve as CEO, with Lubin participating as executive chairman.

    The company plans to complete the spin-off by the end of this year. The two entities will each have independent management structures and investment strategies.

    IPO and Token Issuance Outlook

    The spin-off has drawn market attention amid speculation about Consensys’s initial public offering (IPO) plans. Consensys relocated its headquarters to Texas in 2023, and a year ago hinted at plans to go public in early 2025. However, the massive downturn in cryptocurrency markets appears to have effectively derailed those plans.

    Lubin declined to comment on any updated IPO timeline. Nevertheless, his remarks about the consumer platform’s rapid growth, combined with the spin-off decision, lend weight to speculation that MetaMask as an independent entity could pursue a listing as early as early 2027.

    He also took a cautious stance on token issuance. MetaMask holds its own stablecoin, and speculation about an imminent native token launch has persisted for years. However, Lubin noted that fewer companies are seeking to issue their own cryptocurrencies due to the current business and regulatory environment.

    A company spokesperson, responding to specific questions about the spin-off rationale and IPO timing, said: “We do not comment on market speculation or potential capital markets activity. MetaMask and Consensys are two strong businesses with different growth trajectories and value creation paths in different markets.” The spokesperson added: “Separation will allow each company to pursue opportunities independently and maximize long-term potential through dedicated leadership, focus, and strategic flexibility.”

    MetaMask’s Evolution

    MetaMask originally began as an Ethereum-focused decentralized wallet but has recently evolved into something closer to a crypto-native neobank. The recently launched “Master Account” feature allows users to hold various assets, including cryptocurrencies and fiat currencies, in a single account and spend them

    Lubin emphasized: “As MetaMask truly matures, a massive opportunity is unfolding before us.” He noted that other service offerings, including perpetual futures and prediction markets, are providing increasingly diversified revenue streams.

    Regarding the newly formed Consensys entity, he projected that the recent trend of banks and corporations moving portions of their operations on-chain signals long-term tailwinds for both Ethereum and the restructured Consensys.

    After Regulatory Battles

    Consensys has undergone multiple rounds of layoffs in recent years and fought a fierce but successful legal battle with the Securities and Exchange Commission (SEC) during the Biden administration over the right to build decentralized software.

    Founded in Brooklyn in 2014 as an Ethereum startup incubator, the company has sought to align its corporate values with blockchain’s decentralization ethos under the philosophy of Ethereum co-founder Lubin. This orientation has helped maintain close relationships with developers and long-time crypto enthusiasts, but has at times also subjected the company to the same turbulence and strategic drift as Ethereum itself.

    The spin-off is expected to mark a turning point for MetaMask as it broadens its scope into a financial platform centered on the Ethereum ecosystem while supporting multiple blockchain ecosystems. “MetaMask is evolving into a platform for managing various forms of money,” Lubin said. “The new Consensys, as a protocol company, will support institutions and enterprises in collaborating within always-on, on-chain environments.”
