    On Sept. 1 the SEC proposed modernizing transfer agent rules to allow registered transfer agents to use distributed ledger technology within the master securityholder file while keeping the transfer agent record as the authoritative ownership record, and it would require firms to report how many tokenized securities they service and which blockchain platforms they use. The 60-day public comment window after Federal Register publication coincides with NYSE/Securitize and ICE/tZERO tokenized securities projects, a regulatory update likely to accelerate tokenization, market infrastructure adoption, crypto reporting and clearer oversight of tokenized securities and blockchain-based recordkeeping.

    SEC crypto regulation moved deeper into U.S. securities infrastructure after the agency proposed a broad modernization of rules governing registered transfer agents.

    The Sept. 1 proposal would update regulations that have seen few substantive changes since the late 1970s and early 1980s. It addresses electronic communications, digital recordkeeping, tokenized securities, distributed ledger technology, risk controls, and transfer-agent reporting.

    One of the most relevant changes for tokenization would allow transfer agents to use distributed ledger technology within the master securityholder file. That file remains the authoritative record of registered owners rather than the blockchain automatically receiving legal status on its own.

    Crypto Regulation Proposal Updates Transfer Agent Rules

    The proposal would amend existing rules and forms, rescind one rule, and introduce additional requirements. It also reflects the widespread use of electronic recordkeeping and communications across transfer agent operations.

    Jamie Selway, director of the Division of Trading and Markets, said regulators must revisit legacy rules as technology changes. He called the proposal on crypto regulation as another step in Chairman Atkins’ effort to update the regulatory framework.

    Blockchain recordkeeping sits at the center of one important change included in the plan. Registered transfer agents could use distributed ledger systems to record ownership and process securities transfers.


    SEC opens door for Blockchain over crypto regulation/

    Firms would report how many tokenized securities they service and identify the blockchain platforms supporting those records. That reporting requirement would provide the SEC with more detail on blockchain use among registered transfer agents.

    The US SEC published the proposed release on its website and plans publication in the Federal Register. The public comment period will remain open for 60 days after the Federal Register publication date.

    During that window, interested parties can submit comments on the proposed changes to the transfer agent. The proposal covers recordkeeping, communications, transfer services, reporting, and other activities of registered transfer agents.

    Tokenized Assets Push Into Market Infrastructure

    The proposal comes as tokenized assets are becoming part of several securities infrastructure projects. The New York Stock Exchange and Securitize are working together on a platform for tokenized securities.

    Separately, tZERO and Intercontinental Exchange agreed Monday to work together on tokenized securities infrastructure. Their project involves systems supporting ICE’s planned tokenized securities platform linked to the NYSE.

    tZERO will help build digital transfer agent and broker-dealer systems for ICE’s planned platform. The company said the work could also help establish standards for digital transfer agents. These projects place transfer agents closer to efforts involving blockchain-based ownership and securities transfers.

    The SEC proposal on crypto regulation addresses that same infrastructure through potential changes to federal transfer agent requirements.

    Blockchain Could Become the Official Ownership Record

    The proposal’s central blockchain provision would enable the technology to serve as an official record of securities ownership. That change would connect traditional transfer agent duties with systems supporting tokenized assets.

    Crypto regulation would therefore apply directly to how registered intermediaries maintain and transfer ownership records. The proposal keeps those activities within the SEC’s existing oversight of registered transfer agents.

    For issuers and market intermediaries, the proposal focuses on operational rules rather than creating new investment products. It addresses electronic communications, shareholder records, transfer processes, reporting duties, and blockchain-based recordkeeping.
